This Intermediary Policy governs the conduct, expectations, and engagement terms of referral partners, intermediaries, and third-party introducers who wish to present potential clients, projects, or financial instruments to Capital Projects Partners (CPP).
CPP is a private, invitation-only capital platform. Intermediary engagement is permitted solely on a discreet referral basis and subject to internal approval. We do not operate public-facing programs or mass onboarding of intermediaries.

Referrals submitted by an intermediary will be honored only when:

CPP does not pay commissions on incomplete submissions, ghost leads, or recycled deals.
Any intermediary engaging in the following conduct will be immediately disqualified and may face legal action:

1. Private Referral Basis Only
CPP is a private, invitation-only capital platform. Intermediary engagement is permitted solely on a discreet referral basis and subject to internal approval. We do not operate public-facing programs or mass onboarding of intermediaries.
2. Intermediary Registration & Pre-Approval
All intermediaries must:- Submit a formal introduction dossier with background and credentials
- Sign a Non-Disclosure Agreement (NDA) and Non-Circumvention Agreement (NCA)
- Clearly state if they are acting individually or as part of a larger group
3. No Authority to Represent or Bind CPP
Intermediaries may not:- Present themselves as employees, agents, or managers of CPP
- Make promises, projections, or guarantees regarding results
- Distribute CPP’s confidential documents, branding, or marketing materials
- Negotiate terms or compensation without an authorized agreement
All communications must reflect the intermediary’s status as a third-party introducer, not an internal representative.
4. Referral Recognition & Protection
Referrals submitted by an intermediary will be honored only when:- A full client or project summary is submitted via secure, documented channel
- There is no pre-existing record of the same party within CPP’s system
- The submission complies with our intake and compliance requirements

5. Compensation Guidelines
Intermediary compensation is:- Performance-based and paid only upon successful funding
- Subject to execution of a formal Fee Agreement or Intermediary Commission Agreement (ICA)
- Determined based on value of deal, project type, and intermediary role
- Never owed for speculative introductions or unqualified parties

6. Zero-Tolerance Policy for Misconduct
Any intermediary engaging in the following conduct will be immediately disqualified and may face legal action:- Misrepresenting CPP’s services or authority
- Using CPP’s name to solicit upfront fees or deposits
- Engaging in spam tactics, unauthorized communications, or fake documents
- Circumventing CPP to access private counterparties, monetizers, or clients
CPP maintains a strict anti-fraud, anti-circumvention, and anti-solicitation policy.
7. Confidentiality & Professional Conduct
All engagements involving intermediaries are considered strictly confidential. Intermediaries are expected to:- Uphold the highest standards of discretion and client protection
- Avoid promoting CPP services online or via public-facing platforms
- Limit communications to qualified parties only, with documented interest
8. Right to Decline or Terminate
CPP reserves the right to:- Refuse any intermediary referral at its sole discretion
- Terminate an intermediary relationship at any time, with or without cause
- Deny compensation for misrepresented, unauthorized, or unsolicited introductions
